Main Category Related Topics WHAT OTHER THINGS WE SHOULD DO AFTER THE CERTIFICATE OF REGISTRATION IS ISSUED ?After the Certificate of Registration is issued, your company comes into existence as a body corporate. The name stated in the Certificate of Registration is your company's name. You will also receive an identifying number known as the "Company Number". Your company's name must be prominently display at the place at which the company carries on business and that is open to the public. Your company must also display its name and the wording "registered office" prominently at its registered office. Your company name, in legible romanize letters and your company number must appear on its seal and all business letter, statements of accounts, invoices, official notices, publications, bills of exchange, promissory notes, cheques, orders, endorsements, receipts and letter of credit or purporting to be issued or signed by or on behalf of the company. DO WE NEED INSURANCE FOR OUR BUSINESS ?You can determined the need for insurance based on your business activities and the amount of liability exposure that you have from the activity. You should note that there are certain insurance such as SOCSO which are required for employees. The common forms of business insurance include commercial multi-peril policies covering a variety of exposures, employee fidelity bonds, liability insurance covering premises, activities and products, business interruption insurance, malpractice and errors and omissions coverage and surety and performance bonds. You should always perform a risk exposure analysis when deciding whether to purchase insurance. You can contact a commercial lines insurance broker if you are unable to determine your risk of loss from engaging in business. DO WE NEED A COMPANY SECRETARY ?Each company must have at least one secretary of whom shall be a natural person of full age. Effective 10th September 1992, pursuant to the Company Secretary License section 139B(3), no person shall act as a company secretary to a company unless he or she is licensed by the Registrar of Companies or is a member of a professional body or any other body, which has for time being been prescribed by the Minister. It is an offence for any person who contravenes the above requirements and shall be liable be penalty not exceeding RM5,000. WHO CAN APPLY FOR A COMPANY SECRETARY LICENSE ?An applicant shall be a person of full age that is 18 years and above and have a place of residence in Malaysia. Additionally, he or she shall not be an undischarged bankrupt nor be a convicted person pursuant to section 130(1) of the Companies Act 1965. An applicant must also possess a minimum qualification of Sijil Pelajaran Malaysia or SPM or equivalent and working experience relating to company law matters or company secretarial practice.
